Alex Hall

Specialised Dental Solicitor - "The Legal Process of Buying a Dental Practice"

Alex is a commercial and regulatory solicitor and a partner of Meade King LLP who specialises in acting for dentists, orthodontists and dental-related businesses. With a local government and public sector background, he understands the culture, outlook and viewpoint of a PCT - often so at odds with those of a dentist running a business.  He assists buyers and sellers of private, mixed and NHS practices, has had success in challenging invalid breach and remedial notices, advising on flawed tendering processes and persuading PCTs to overturn their "unreasonable" decisions.

Alex will talk about the legal process of buying or selling a dental practice, the importance and purpose of due diligence, timing, bank security - charges, debentures and personal guarantees, the sale and purchase agreement, warranties and indemnities, retentions and structure.

He can also discuss the niche and often contentious dental practice transaction issues: 'transfer' of GDS contracts and PDS agreements, the use of partnerships and the statutory notices to the PCT that are required, clawback liabilities, breach and remedial notices and how these issues impact on the transaction. CQC compliance and registration is topical and still confused. Many of Alex's clients include corporates who have to use various legal mechanisms and procedures when PCTs refuse to transfer the contract to a company. 

 

Simon Tucker

Clear Vision

Simon Tucker is Business Development Manager at Clear Vision, accountants to dentists and dental business advisers. He was previously a Director of Medenta Finance, helping dental practices develop unique sales processes in order to improve treatment acceptance and profitability. He has also acted at Chairman of the British Dental Trade Association.

Having spent more than 30 years working with dentists and dental technicians, Simon has built a wide knowledge of the inner workings of a successful dental practice. Starting as a toothbrush salesman and culminating as European Sales Director for Kerr, he has worked and lived in the USA and Switzerland visiting dental practices in dozens of countries.

In 2005, Simon teamed up with well known colleagues to form Medenta. Initially focusing on Patient Finance Facilities before developing training courses to maximise the success and profit of dental businesses.

As more of the dental profession seek to build their businesses by reducing their dependency on the NHS and those who are already predominantly private realise that the competition is increasing, there is a general recognition that a different mindset and range of skills are necessary to operate and succeed. As Simon explains:
